Application
Please read carefully before buying training courses or accessing or downloading any training materials from this website. These terms and conditions shall apply to the provision of training by SquarePeg Training Ltd to the customer.
Interpretation of terms
In these Terms and Conditions the following words and expressions shall have the meanings set out next to them:
Service means the SquarePeg Training products and training or other services available for purchase on or from this website.
Contract for Services means the document sent by SquarePeg Training following confirmation that the Customer wishes to obtain training. This sets out details of the training to be provided and the basis upon which it will be delivered.
We or us or our means SquarePeg Training Ltd., a company limited by Guarantee in Scotland (Company No. SC815412).
Website means the whole or any part of the website controlled or operated by us and located at https://www.learningdisabilityanddementia.org/ or any subsequent URL which may replace it.
You or yours means a party that uses the website to purchase a service either as an individual or representative of an organisation.
Delegate means an individual or representative scheduled by the customer to attend training.
Customer means the person or organisation who buys the training from SquarePeg Training.
Intellectual Property means a set of intangible assets including trademarks, patents and copyright that are not physical in nature. Intellectual property is owned and legally protected from use or implementation by a customer without consent. Intellectual property infringement occurs when a third party engages in the unauthorised use of the asset.
In-house means training provided by SquarePeg Training at premises arranged by the customer for the customer’s delegates or online booked by an organisation for sole attendance by their staff.
Training means the training, either in-house or online, to be supplied by SquarePeg Training to the customer as described in the booking process.
Training materials means any documents, resources or materials provided by SquarePeg training as part of the training.
Conditions of Purchase
These terms and conditions apply when the customer completes the online booking process or upon receipt of an electronic or hard copy of the contract for services signed by the customer at which point these terms and conditions shall be deemed incorporated into the contract for services.
Your order will be fulfilled by the estimated delivery date set out in the order confirmation, unless there is an event outside our control. If we are unable to meet the estimated delivery date because of an event outside our control, we will contact you with a revised estimated delivery date.
Where training is being delivered at its premises, the customer (organisation) should provide SquarePeg Training with access, training space and any equipment necessary for the delivery of the Training, with confirmation of this provided in advance.
Fees
Online payment is required by the customer at the time of booking for individual attendees.
For organisations, any invoice or bank transfer request must be paid within 30 days to a bank account provided on the invoice by SquarePeg Training, or in the case of online bookings, as required by the online booking process.
Failure by the customer to pay the requested fees within 30 days may (at the discretion of SquarePeg Training) result in the delegates place on the training being withdrawn, SquarePeg Training ceasing to provide the training and/or withholding any certificates due to the delegates.
All pricing on the website is, unless otherwise indicated, in pounds sterling.
Training Cancellation and Changes
Individual bookings
Individual delegate cancellation more than 7 days before the event: A 50% refund will be offered. Or the full amount can be held over and applied to the next date offered. (See ‘next date’ terms below).
Alternatively, as an individual delegate you can nominate another person to take your place on the course at no extra charge by contacting us (see 'substitute participant' below).
Individual delegate cancellation less than 7 days before the event: no refund shall be paid. As above, the full amount can be held over and applied to the next date offered. Alternatively, as an individual delegate you can nominate another person to take your place on the course at no extra charge by contacting us.
If you attend and are unable to complete the full day due to unforeseen circumstances, no refund will be made. No substitute participant is permitted after the course has begun and the next date clause will not be applied.
Organisation booking
Delegates booked for in-house training delivery (whether online or face to face) may transfer their booking to a colleague and should notify SquarePeg Training and their employer. If individual places are cancelled then no alternative date will be offered to those individuals.
If a staff member attends training contracted in-house by their employer and is unable to complete the full day due to unforeseen circumstances, no refund will be made. No substitute participant is permitted after the course has begun and the next day clause will not be applied.
If a refund is approved by SquarePeg Training, it will only be made through the original mode of payment.
Organisation cancellation more than 14 days from the event: A 50% refund will be offered. Or the full amount can be held over and one further rescheduled date will be offered. It is the organisations responsibility to notify staff of both the cancellation and the rescheduled date.
Organisation cancellation less than 7 days before the event: no refund shall be paid. As above, the full amount can be held over and applied to one further date that will be offered. It is the organisations responsibility to notify staff of both the cancellation and the rescheduled date.
If SquarePeg Training cancels a confirmed booking, no refund is due so long as, we have made a reasonable offer to you to rearrange the provision of the services. If no such offer has been made, then you are entitled to a full refund of any fees paid.
Meaning of ‘next date’
The next date must be the same delivery format, i.e. a change cannot be requested from an online to face to face course. If the next date is unsuitable, one further date will be offered after which further no subsequent offers will be made.
In the event of cancellation by SquarePeg Training, liability will be restricted to refund of the fees paid.
Meaning of ‘substitute participant’
If you are unable to attend but can nominate a colleague or another suitable candidate to take your place, we should be notified as soon as possible. This applies whether you are applying as an individual attendee or as part of an organisational in-house booking. You may not forward any joining or other course information or links until confirmation of substitution has been received from the organiser.
Equipment and belongings
SquarePeg Training is not liable for loss or damage to your equipment or other belongings, nor those of delegates, howsoever caused. This applies to individual and organisational bookings.
Health and Safety
Responsibility for health and safety of you and other delegates remains with you (whether an individual or an organisation) throughout. For example, if training is provided at a workplace or local venue then the contracting organisation is responsible for a risk assessment relating to both the location at which the services are to be provided and to the provision of the services.

By placing an order for any service on this website, you represent to us that:
Personal Information and Privacy
We will observe all applicable data protection laws and any information submitted by you to us as part of your order for the service on this website, that does or can be used to personally identify you (“Personal Data”) will be used by us in relation to your order. We may keep records of orders received by us and any acknowledgements, acceptances and other contract records for a reasonable period.
Events Outside Our Control
SquarePeg Training will have no liability to the customer under the agreement if we are prevented or delayed in performing our obligations, or from carrying out business due to events beyond our reasonable control. This includes, without limitation, strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic or other natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
Intellectual property
SquarePeg Training retain all intellectual property rights in all of the materials and/or documents which are made available to you and/or any delegates.
No reproductions, scans or copies (wholly or in part) shall be made of the training material without the prior written consent of SquarePeg Training unless otherwise explicitly stated on the website.
Governing Law and Jurisdiction
The construction, validity and performance of these Terms and Conditions shall be governed by Scottish Law and by purchasing services on this website you submit to the exclusive jurisdiction of the Scottish Courts.
Other Important Terms
This contract is between you and us. No other person shall have any rights to enforce any of its terms.
Each of the paragraphs of these Terms and Conditions operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.
If we fail to insist that you perform any of your obligations under these Terms and Conditions, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
